1. ACCESS; ACCEPTABLE USE

  • 1.1 License. Subject to these Terms and your ongoing compliance with these Terms, Convergint grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful informational, career-related, or business-related purposes only. Convergint may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason.
  • 1.2 Acceptable Use.   • You agree to defend, indemnify, and hold harmless Convergint, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Site; (b) your violation of these Terms or applicable law; or (c) your Submissions, including any allegation that your Submissions infringe, misappropriate, or otherwise violate the rights of any third party. Convergint reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with Convergint in the defense of such claims.

8. TERM AND TERMINATION

  • 8.1 Term. These Terms remain in effect for as long as you access or use the Site.
  • 8.2 Termination. Convergint may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason.

9. GENERAL

  • 9.1 Assignment. You may not assign or transfer these Terms, in whole or in part, without Convergint’s prior written consent. Convergint may assign these Terms freely, including in connection with a merger, sale of assets, or similar transaction.
  • 9.2 Governing Law and Venue. These Terms and your use of the Site are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction and venue of such courts.
  • 9.3 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • 9.4 Waiver. No failure or delay by Convergint in exercising any right under these Terms will operate as a waiver of such right.
  • 9.5 Survival. Provisions that by their nature should survive termination of these Terms will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, and indemnification.
  • 9.6 Electronic Communications. By using the Site, you consent to receive communications from Convergint electronically, and you agree that such communications satisfy any legal requirement that communications be in writing.
  • 9.7 Entire Agreement. These Terms constitute the entire agreement between you and Convergint regarding your use of the Site and supersede all prior or contemporaneous understandings relating to such use.
  • 9.8 Right to Modify or Discontinue the Site. Convergint may modify, suspend, or discontinue the Site, or any portion of it, at any time without notice.
